TERMS AND CONDITIONS

General:

• The terms & conditions content herein in shall constitute & from entire agreement herein after refer to as an agreement between RV Media & Entertainment(RV MEDIA) and Customer.

• Any cause of terms & conditions if deemed invalid void or for any reason become unenforceable shall be deemed severable & shall not effect the validity & enforciability of the remaining cause of terms & conditions of this agreement.

SERVICE EXCLUSIONS & PERFORMANCE

• In the event the agreement gets terminated for any reason whatsoever before the expiry of the period of one year from the date of agreement then the website hosting & domain if so applicable provided by RV MEDIA shal be chargeable by RV MEDIA & the customer agree to pay for same.

• In case the customer intend to continue the use of such website hosting & hosting after the paid of one year from date of agreement.

• That case the advertising budget of customer is consumed before the expiry of period of one year from the date of this agreement.Then also the customer shall be entitled to use the website hosting & Domain for the balance period.

• In the event the advertisement requirements requested by the customer fall within the restricted category of Google or are not supported Google or any against the policy of Google,Facebook then RV Media shall not be responsible for such damages.

• RV MEDIA reserve the right to refuse or cancel any advertisement requirement at its sole discreation with or without cause at any time.

• Service contract is for Google adwords which is paid form of advertising on Google. Customers Website link would appear under sponsored link on google search result page.

• Our Website solution would not be given along with FTP(FiIe Transfer Protocol)

CONSIDERATION

• RV MEDIA reserve the right to charge for any addition work executed from our side.

• The cost of click would includes RV MEDIA charge over and above the actual cost of click on Google Adwords.

IDEMINTY

• Customer shall idemify & hold RV MEDIA harmless from all claims costs proceedings damages & espenses( Including legal & other professional fees & expenses) awarded against or incurred or paid by RV MEDIA as a result of or any connection with any alleged or actual infrigement of any third party intellectual property rights or other rights arising out of the use or supply of the information by or on behalf of customer’s to RV MEDIA.

TERMINATION

• If the contract is terminated by the customer’s before the service under this agreement began esecution or are in the process of completion that in such event under no circumstances the consideration period or agreed to be paid by the customer shall be refundable & same shall be forfeited in full.

DISCLAIMER

• RV MEDIA makes no representation warranty or guarantees of any kind as to the level of sales purchases clicks & ranks shall leads or other performance that customer can espect from advertising campaign through RV MEDIA any estimates provided by RV MEDIA to the customer’s are not intended to create any binding obligations or to be replied upon by the customer & the same are mere estimates.

• RV MEDIA will not be liable for any loss or profit loss of contract loss of use or any direct/indirect or any consequential Ioss.damage or expense sutained/incurred by the customer as a result of any acts or omissions or information or advice then/given any form by or behalf of RV MEDIA to the customer & the customer is advised to make its own inquiries & use its own best )udgement and/or intellect before taking any decisions regarding the same.

FACEBOOK PAGE MANAGEMENT

• The customer undertakes to notify new announcements atleast 3 working days in advance.

• It’s agreed and understood by the customer that once the content calendar ix approved by the party to this agreement then the same cannot be changed.

• The customer undertakes to provide substantial answer to RV MEDIA in order to answer any query posted on the page.

• RV MEDIA will not responsible for number of Iikes,No. of shares or any perfomance guarantee.

ECOMMERCE & CUSTOM WEBSITES

• Any third party application such as payment gateway shipping gateway SMS gateway SSL Certificate or Stock photos will need to be purchased by the customer & they shall own the copyrights of these materials.Customer will retained the ownership of aforesaid mentioned party applications.

• It is agreed & understood that by the customer that RV MEDIA shall integrate only one payment gateway in the present scope of work.

• It is agreed & understood by the customer that the Hosting(server size & cost) is subjective to the website size.

• It is agreed & understood by the customer that the website will have only one admin no subdomains rights management for backend module shall be provided.

• If the customer wishes to engage RV MEDIA for the services related only email or hosting solution then such event customer would need to point ns & ns2 of the said domain to the server of RV MEDIA.

•Home Page of website would be designed first, and shown to you. Upon approval of home page design, further pages would be designed and developed

•Redesigning in website after approval of home page can be chargeable depending on nature & scope of re-designing work required.

3.Additional pages and features in website apart from the ones mentioned in this proposal would be chargeable depending on nature & scope of work.

4.Website maintenance is limited to modification of images/content in exisiting features of website

6.Delay in getting payment gateway script from client end should not result in delay of balance payment, if the website is completed.

8.All payments below INR 8,000 to be paid in full advance.

SEO

• Ftp details of website should be provided by the customer incase website is not built by RV MEDIA.

• Keywords once Chosen cannot be changed during entire duration.

• If changed there is an extra cost of each keyword as applicable.

• Our performance shall be judged by improvements in ranking of keywords

• Keywords shown once on the first page will be considered as an accomplishment.

• If any change are done on the website without prior notice & approval of RV MEDIA ,Then we will not responsible for any rank guarantee.

• SEO package covers SEO for only one search engine e.g Google.co.in.if you want other then you have pay extra as applicable

• Due to changes in search engine algorithms there is possibility of fluctuations in the ranking then RV MEDIA shall not responsible for any time delay in process.

• Incase client decide to terminate the contract before completion of minimum duration RV MEDIA shall not be liable to meets the deadlines.

OTHERS

• RV Media reserves the right to add or change the above terms & conditions as and when required without giving any prior notice or assigning any reason thereof and it is your responsibility as a user to refer to the terms on accessing this service. Changes made by us will be deemed to have accepted,if you continued to use service thereafter.

Dispute resolution

All disputes in relation with the transactions carried out with the Company shall be subject to the Arbitration in terms of the Arbitration and Conciliation Act, 1996 and the place of Arbitration shall be Noida.
